1. Introduction

Hoover Essential Lifeskills Opportunities, Inc. (“HELO,” “the Corporation,” “we,” “us,” or “our”) is a nonprofit corporation duly incorporated under the laws of the State of Tennessee and organized to pursue charitable and educational purposes.

These Legal Disclosures are provided to communicate material information concerning the Corporation's legal and organizational status, charitable activities, federal tax-exemption status, fundraising practices, and other matters relevant to donors, program participants, volunteers, community partners, and members of the public.

The information contained herein is intended to promote transparency and provide accurate representations of the Corporation's operations and regulatory status as of the effective date of this document. Nothing in these disclosures shall be construed as a representation that HELO possesses any governmental approval, registration, exemption, or designation that has not been formally granted or otherwise established under applicable law.

These Legal Disclosures supplement, and should be read in conjunction with, HELO's Privacy Policy, Terms of Use, Donation Policy, Cookie Settings, and other applicable notices published on its official website.

HELO reserves the right to amend, revise, or supplement these disclosures as necessary to reflect changes in its operations, legal status, or applicable federal and state requirements. Nothing herein is intended to waive or limit any right or obligation established by applicable law.

2. Organizational Identity and Legal Status

A. Legal Name and Corporate Organization

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) is a nonprofit public benefit corporation incorporated under the laws of the State of Tennessee.

The Corporation was formed on January 5, 2026, pursuant to the applicable provisions of the Tennessee Nonprofit Corporation Act, Tennessee Code Annotated § 48-51-101 et seq.

HELO operates under its legal corporate name and may use the acronym “HELO” in connection with its programs, services, publications, communications, and other authorized organizational activities.

B. Organizational Purpose

HELO is organized to pursue charitable and educational purposes, including providing life-skills education, educational stability, and transitional support to foster youth and other young adults experiencing barriers to independent adulthood.

The Corporation's activities are intended to advance its stated mission and are subject to its governing documents and applicable federal and state laws.

C. Corporate Governance

HELO is governed by a Board of Directors responsible for the oversight of the Corporation's affairs in accordance with its Articles of Incorporation, Bylaws, and applicable Tennessee law.

The Corporation's officers and authorized representatives carry out their respective responsibilities subject to the authority of the Board of Directors, applicable governing documents, and established organizational policies.

D. State Incorporation and Federal Tax Classification

HELO's incorporation as a Tennessee nonprofit corporation establishes its legal existence under state law but does not, by itself, constitute recognition of exemption from federal income taxation under Section 501(c)(3) of the Internal Revenue Code.

Federal tax-exempt recognition is a separate determination governed by applicable federal law and administered by the Internal Revenue Service.

The Corporation's federal tax-exemption application status is addressed separately in Section 3 of these Legal Disclosures.

E. Organizational Authority and Compliance

HELO conducts its organizational affairs subject to applicable federal, state, and local laws and the provisions of its governing documents.

The Corporation's authority to undertake particular activities, solicit charitable contributions, or claim exemptions or other legal privileges is subject to any applicable registration, qualification, approval, or statutory requirements.

Nothing in these Legal Disclosures shall be interpreted as representing that HELO holds a license, registration, exemption, or governmental authorization that has not been obtained or is not otherwise applicable under law.

3. Federal Tax-Exempt and IRS Form 1023

A. Federal Tax-Exemption Application

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) is organized as a Tennessee nonprofit public benefit corporation and intends to seek recognition of exemption from federal income taxation under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the “Code”).

HELO is currently preparing IRS Form 1023, Application for Recognition of Exemption Under Section 501(c)(3) of the Internal Revenue Code, together with the required supporting documentation.

As of the effective date of these Legal Disclosures, the Corporation has not submitted its application and has not received a determination letter from the Internal Revenue Service (“IRS”) recognizing exemption under Section 501(c)(3).

B. Distinction Between State Incorporation and Federal Recognition

HELO's incorporation under the Tennessee Nonprofit Corporation Act establishes its existence as a nonprofit corporation under Tennessee law.

State nonprofit incorporation does not, by itself, establish exemption from federal income taxation, confer recognition under Section 501(c)(3), or establish the federal tax-deductibility of contributions.

Any recognition of federal tax-exempt status is subject to applicable federal law and the IRS determination process.

C. Pending Application and IRS Determination

Following submission of Form 1023, HELO's application will be subject to review by the IRS. The IRS may request additional information or supporting documentation before issuing a determination.

Submission of an application does not guarantee approval, and HELO makes no representation or warranty concerning the outcome or timing of the IRS review process.

Until the Corporation receives an applicable IRS determination, HELO will not represent that federal tax-exempt recognition has been granted.

D. Potential Effective Date of Recognition

Under applicable federal law and IRS procedures, an organization that timely files a qualifying application for recognition under Section 501(c)(3) may receive recognition effective as of its date of formation, provided it satisfies the applicable organizational, operational, and filing requirements.

Any retroactive effective date is subject to the IRS's determination and the applicable legal requirements.

HELO does not guarantee that recognition will be granted retroactively or that contributions made before recognition will qualify for a federal income tax deduction.

E. Public Communications and Status Updates

HELO intends to communicate its federal tax-exemption status accurately in its website materials, fundraising communications, donor acknowledgments, and other organizational publications.

The Corporation may revise its public disclosures following submission of Form 1023, receipt of an IRS determination, or other material changes affecting its federal tax classification.

Any future representation concerning recognition under Section 501(c)(3) will be based on the Corporation's actual status and applicable IRS documentation.

4. Charitable Contributions and Tax Deductibility

A. Acceptance of Charitable Contributions

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) may accept voluntary financial contributions, in-kind donations, sponsorships, and other forms of charitable support in furtherance of its organizational purposes, subject to applicable law and the Corporation's established policies.

The acceptance of a contribution does not constitute a representation that the contribution qualifies for a federal or state tax deduction.

B. Federal Tax-Deductibility Status

As of the effective date of these Legal Disclosures, HELO has not received recognition from the Internal Revenue Service (“IRS”) as an organization described in Section 501(c)(3) of the Internal Revenue Code.

Accordingly, HELO does not currently represent that contributions to the Corporation are deductible as charitable contributions for federal income tax purposes.

Tennessee nonprofit incorporation alone does not establish eligibility to receive tax-deductible charitable contributions.

C. Contributions Made Before IRS Recognition

Under applicable federal tax law, contributions made before an organization receives an IRS determination letter may qualify for charitable contribution deductions if the organization subsequently receives recognition under Section 501(c)(3) with an effective date covering the contribution.

Such treatment depends on the organization's ultimate qualification, the effective date of recognition, the nature of the contribution, and the donor's individual tax circumstances.

HELO does not guarantee that its application will be approved, that any recognition will be retroactive, or that any particular contribution will qualify for a tax deduction.

D. Donation Acknowledgments and Receipts

HELO may provide written acknowledgments or receipts documenting contributions received by the Corporation.

Such acknowledgments may identify the contribution date, amount or description, and other information appropriate to the type of contribution.

A donation acknowledgment or receipt does not, by itself, establish that a contribution is tax-deductible.

HELO will not assign a monetary value to donated property on behalf of a donor. Donors are responsible for determining and substantiating the value of noncash contributions in accordance with applicable tax requirements.

Where required, HELO will disclose whether goods or services were provided in exchange for a contribution.

E. Sponsorships and Contributions Involving Benefits

Certain sponsorships, event payments, ticket purchases, or other transactions may involve goods, services, advertising benefits, or other consideration provided in exchange for payment.

The federal tax treatment of such transactions may differ from that of an unrestricted charitable contribution.

Where applicable, HELO will identify relevant benefits or consideration in its donor communications and acknowledgments in accordance with applicable requirements.

F. Donor Responsibility and Professional Tax Advice

Donors are responsible for determining whether a contribution qualifies for a federal or state tax deduction and for maintaining documentation required by applicable law.

HELO does not provide individualized legal, accounting, or tax advice through its website, fundraising materials, or donation acknowledgments.

Donors are encouraged to consult a qualified tax professional regarding the deductibility of contributions, applicable limitations, and substantiation requirements.

G. Relationship to HELO's Donation Policy

Additional information regarding donation acceptance, restrictions, acknowledgments, and related organizational practices is provided in HELO's Donation Policy.

In the event of a question regarding a particular contribution, donors may contact HELO directly for information about the Corporation's donation procedures and current federal tax-exemption status.

5. Fundraising and Solicitation Disclosures

A. Charitable Fundraising Activities

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) may conduct charitable fundraising activities to support its organizational development, educational programs, operational needs, and charitable mission.

Such activities may include individual contributions, corporate sponsorships, community fundraising events, charitable campaigns, in-kind donations, and other lawful forms of financial or material support.

All fundraising activities shall be conducted subject to applicable federal, state, and local laws and the Corporation's governing documents and established policies.

B. Tennessee Charitable Solicitation Requirements

HELO is incorporated as a nonprofit public benefit corporation under the laws of the State of Tennessee.

The Corporation recognizes that charitable solicitation registration and exemption requirements are separate from nonprofit incorporation and federal tax-exempt recognition.

HELO is evaluating its obligations under the Tennessee Charitable Solicitations Act, including the availability of any applicable registration exemption based on its fundraising activities and qualifying contributions.

The Corporation does not represent that it holds a charitable solicitation registration or exemption unless such status has been established in accordance with applicable law.

C. Fundraising During Organizational Development

During its initial organizational development period, HELO has focused on establishing its governance structure, operational policies, educational curriculum, participant procedures, and program infrastructure.

The Corporation may receive voluntary charitable contributions during this period to support its lawful organizational and charitable activities.

HELO's receipt of contributions does not constitute a representation that its planned educational programs are already operational or that federal tax-exempt recognition has been granted.

D. Community Events and Fundraising Initiatives

HELO may organize or participate in community events, educational outreach activities, public awareness initiatives, and charitable fundraising opportunities.

Such activities may include community celebrations, informational booths, sponsorship opportunities, and voluntary donation campaigns.

Participation in a community event does not necessarily constitute a charitable solicitation. However, activities involving requests for charitable contributions may be subject to applicable registration, disclosure, or other legal requirements.

HELO will seek to satisfy applicable requirements before conducting fundraising activities for which registration or other authorization is required.

E. Donor Communications and Transparency

HELO intends to provide accurate information regarding its organizational identity, charitable purposes, fundraising activities, and current federal tax-exemption status.

Fundraising communications shall not knowingly misrepresent the Corporation's programs, financial needs, governmental approvals, or the tax treatment of contributions.

Donors may request additional information regarding HELO's mission, organizational activities, and donation procedures by contacting the Corporation.

F. Use and Administration of Contributions

Contributions received by HELO shall be administered in accordance with applicable law, the Corporation's governing documents, and established financial management policies.

Unrestricted contributions may be used to support the Corporation's lawful charitable and operational purposes.

Contributions accepted subject to donor-imposed restrictions shall be administered in accordance with the applicable restrictions and legal requirements.

Additional information regarding the acceptance, acknowledgment, and administration of contributions is provided in HELO's Donation Policy.

G. Changes in Fundraising Activities or Registration Requirements

HELO may expand its fundraising activities as its programs and organizational capacity develop.

The Corporation will review its charitable solicitation obligations as fundraising activities, anticipated contributions, and applicable legal requirements change.

If registration or additional filings become necessary, HELO will seek to satisfy those requirements within the timeframes established by applicable law.

6. Programs, Services, and Eligibility

A. Charitable and Educational Program Purpose

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) is organized to provide charitable and educational opportunities intended to support foster youth and other young adults facing barriers to independence.

The Corporation's planned programs are designed to promote life-skills development, educational stability, personal responsibility, self-sufficiency, and successful transitions into independent adulthood.

HELO's programs and services shall be administered in accordance with its charitable purposes, governing documents, established policies, available resources, and applicable laws.

B. Intended Population and Eligibility

HELO's programs are primarily intended to serve young adults between the ages of 18 and 26, with priority consideration given to individuals currently or formerly involved in the foster care system, including those transitioning out of foster care.

Subject to program capacity and established eligibility requirements, HELO may also consider other young adults experiencing significant barriers to independence.

Eligibility and participation determinations shall be based on established program criteria, individual circumstances, available resources, and applicable legal requirements.

Submission of an inquiry, application, or referral does not guarantee acceptance into any HELO program.

C. Three-Phase LifeSkills Program Model

HELO is developing a structured Three-Phase LifeSkills Program Model intended to provide progressive educational and transitional support.

The program model consists of:

Phase I — Intake and Stabilization Assessment: Initial eligibility screening, assessment of participant needs, identification of potential barriers, and development of an individualized success plan.

Phase II — Core LifeSkills Cohort: Structured educational instruction designed to develop practical knowledge and skills related to financial stability, employment, independent living, personal well-being, and other areas essential to adulthood.

Phase III — Advancement and Alumni Leadership: Continued support, mentorship, accountability, and opportunities for personal development following completion of the core educational program.

The specific structure, duration, instructional content, and availability of each phase shall be governed by HELO's approved program policies and operational capacity.

D. Program Development and Anticipated Implementation

As of the effective date of these Legal Disclosures, HELO remains in its organizational development and program preparation stage.

The Corporation is developing its curriculum, participant materials, intake procedures, operational policies, volunteer processes, and community partnerships in preparation for future program implementation.

HELO currently anticipates beginning its initial Core LifeSkills Cohort in April 2027, subject to funding, staffing, facilities, organizational readiness, and other operational considerations.

The anticipated implementation date is a planning objective and does not constitute a guarantee that services will commence on a particular date.

E. Program Availability and Participation

Program enrollment, class schedules, educational activities, mentorship opportunities, and other services may be limited by available funding, qualified personnel, facilities, participant capacity, and community resources.

HELO reserves the right to establish reasonable eligibility criteria, enrollment procedures, participation requirements, and program schedules consistent with its charitable mission and applicable law.

The Corporation may modify, postpone, suspend, or discontinue a program or service when reasonably necessary due to operational, financial, safety, legal, or other legitimate considerations.

F. Referrals and Third-Party Services

HELO may receive participant referrals from foster care agencies, governmental entities, educational institutions, community organizations, churches, and other appropriate referral sources.

A referral does not establish an entitlement to enrollment or services.

HELO may also coordinate with independent service providers or community partners to facilitate access to educational, housing-related, employment, transportation, wellness, or other supportive resources.

Unless expressly stated otherwise in a written agreement, independent third-party providers remain responsible for the services they provide.

G. Limitations and Individual Outcomes

HELO's programs are intended to provide educational opportunities, practical guidance, and supportive resources. Participation does not guarantee employment, housing, educational completion, financial independence, or any other particular outcome.

HELO does not represent that its LifeSkills programs replace professional legal, medical, mental health, financial, or other licensed services.

Where appropriate, participants may be encouraged or referred to qualified professionals or independent service providers.

Nothing in these Legal Disclosures shall be construed as creating a contractual entitlement to admission, continued participation, financial assistance, or any specific program benefit, except to the extent otherwise established by an applicable written agreement or law.

7. Non-Discrimination and Equal Opportunity

A. Commitment to Non-Discrimination

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) is committed to maintaining a respectful, inclusive, and equitable environment in the administration of its charitable and educational activities.

HELO shall not unlawfully discriminate against any individual on the basis of race, color, national origin, ancestry, religion, sex, disability, or any other characteristic protected by applicable federal, state, or local law.

This commitment applies to the Corporation's programs, services, employment practices, volunteer opportunities, and other organizational activities, to the extent required by applicable law.

B. Program Eligibility and Mission-Based Priorities

HELO's charitable and educational programs are designed primarily to serve young adults ages 18 through 26 who experience barriers to independence, with priority consideration given to current and former foster youth.

The establishment of mission-related eligibility requirements, age parameters, referral procedures, and program priorities shall not, by itself, constitute unlawful discrimination when such criteria are consistent with applicable law and the Corporation's charitable purposes.

Program admission and participation decisions shall be based on established eligibility requirements, individual circumstances, available resources, and legitimate program considerations.

HELO shall administer its eligibility criteria consistently and without unlawful discrimination.

C. Equal Opportunity in Employment and Volunteer Engagement

HELO is committed to providing equal opportunity in employment and volunteer engagement in accordance with applicable laws.

Employment-related decisions, including recruitment, hiring, compensation, training, advancement, and termination, shall be made in accordance with applicable legal requirements and legitimate organizational considerations.

Volunteer selection, placement, supervision, and continued engagement may be subject to established qualifications, background screening requirements, safeguarding procedures, and other reasonable organizational policies.

Nothing in this section shall be interpreted as limiting HELO's authority to establish lawful qualifications or safety standards appropriate to particular positions or responsibilities.

D. Disability Access and Reasonable Accommodations

HELO is committed to complying with applicable disability rights and accessibility requirements in connection with its programs, services, employment practices, and public-facing activities.

Where required by applicable law, HELO will consider requests for reasonable accommodations or modifications that enable qualified individuals with disabilities to participate in available opportunities.

Requests shall be evaluated individually, taking into account applicable legal requirements, the nature of the requested accommodation, available resources, and relevant safety considerations.

HELO may request information reasonably necessary to evaluate an accommodation request, subject to applicable confidentiality and privacy requirements.

E. Harassment, Retaliation, and Respectful Conduct

HELO prohibits unlawful harassment, discrimination, and retaliation in connection with its organizational activities.

Individuals who raise concerns, request legally protected accommodations, or participate in protected complaint processes shall not be subjected to unlawful retaliation for exercising their rights.

HELO may establish and enforce reasonable standards of conduct designed to promote participant safety, professional accountability, respectful communication, and the effective administration of its programs.

Reports of alleged misconduct shall be addressed in accordance with applicable law and established organizational procedures.

Hoover Essential Lifeskills Opportunities, Inc. (HELO)

Email: office@helolifeskills.org

HELO will review concerns in accordance with applicable law and organizational procedures.

Nothing in these Legal Disclosures is intended to restrict an individual's right to contact an appropriate governmental agency, file a legally protected complaint, or exercise any right or remedy available under applicable law.

8. Third-Party Relationships and External Resources

A. Community Partnerships and Organizational Relationships

Hoover Essential Lifeskills Opportunities, Inc. (“HELO” or “the Corporation”) may establish relationships with governmental agencies, educational institutions, foster care organizations, nonprofit entities, businesses, churches, community groups, and other organizations to advance its charitable and educational mission.

Such relationships may involve participant referrals, educational presentations, volunteer engagement, mentorship opportunities, sponsorships, donated resources, community events, or other collaborative activities.

Unless expressly established through an authorized written agreement, such relationships shall not create a legal partnership, joint venture, agency relationship, or authority for one organization to act on behalf of another.

B. Independent Third-Party Service Providers

HELO may provide information about or facilitate connections to independent third-party organizations offering services or resources relevant to participant needs.

Such resources may include educational opportunities, employment assistance, housing-related services, transportation resources, healthcare services, financial education, and other forms of community support.

Unless expressly stated otherwise, third-party providers operate independently of HELO and remain responsible for their own services, qualifications, policies, professional obligations, and legal compliance.

HELO's referral to or identification of an outside resource does not constitute a guarantee of the provider's availability, suitability, eligibility requirements, service quality, or outcomes.

C. External Websites and Online Resources

HELO's website may contain links to websites, applications, educational materials, or other digital resources maintained by third parties.

These resources are provided for informational, educational, or convenience purposes.

HELO does not necessarily control, maintain, or endorse the content, security practices, accessibility, privacy policies, or terms of use of external websites.

Visitors who access third-party resources are encouraged to review the applicable policies and terms governing those resources.

D. Sponsorships, Donations, and Public Recognition

HELO may receive financial contributions, in-kind donations, sponsorships, or other lawful support from individuals, businesses, foundations, and community organizations.

The acknowledgment or public recognition of a donor, sponsor, or supporting organization does not, by itself, constitute HELO's endorsement, certification, or recommendation of that party's products, services, business practices, or viewpoints.

Likewise, a contribution or sponsorship does not automatically grant the contributor authority over HELO's governance, program admission decisions, charitable activities, or organizational policies.

Any specific sponsorship rights or obligations shall be governed by the applicable written agreement, if one exists.

E. Use of Organizational Names, Logos, and Representations

Third parties may not represent themselves as authorized agents, official spokespersons, or representatives of HELO without appropriate authorization.

The use of HELO's name, logo, trademarks, or other identifying materials in a manner suggesting official endorsement, sponsorship, or affiliation requires the Corporation's prior authorization, except where otherwise permitted by applicable law.

HELO shall likewise seek to respect the intellectual property rights and authorized branding requirements of organizations with which it collaborates.

F. Information Sharing and Confidentiality

In connection with referrals, partnerships, or coordinated services, HELO may need to communicate with independent organizations regarding program-related matters.

Any disclosure of personal or confidential information shall be subject to applicable law, HELO's Privacy Policy, relevant confidentiality requirements, and any necessary authorizations or consents.

A referral or collaborative relationship does not automatically authorize the unrestricted disclosure of participant, donor, volunteer, or other personal information.

G. Changes to External Relationships and Resources

HELO may establish, modify, or discontinue third-party relationships and external resource listings as its organizational needs, available resources, and charitable activities evolve.

The inclusion of an organization or resource on HELO's website does not guarantee a continuing relationship, ongoing availability, or future participation in HELO's activities.

Nothing in this section is intended to exclude or limit liability that cannot lawfully be excluded or limited.

9. Accuracy of Informational and Updates

A. Accuracy and Reliability of Information

(“HELO” or “the Corporation”) endeavors to provide accurate, reliable, and reasonably current information regarding its charitable mission, organizational activities, educational programs, fundraising initiatives, community events, and related matters.

Nothing in this section shall limit any obligation to provide accurate information or disclosures required by applicable law.

B. Program Information and Organizational Development

HELO's programs, services, educational materials, and operational procedures may evolve as the Corporation continues its organizational development and implementation activities.

Descriptions of anticipated programs, enrollment opportunities, participant benefits, implementation schedules, and future organizational initiatives may reflect planning objectives rather than established or currently available services.

HELO reserves the right to revise program descriptions, eligibility procedures, schedules, instructional content, and other operational information when reasonably necessary and consistent with applicable law.

The publication of a proposed activity, anticipated launch date, or future initiative does not constitute a guarantee of implementation, enrollment, funding, or continued availability.

C. Financial, Fundraising, and Tax-Related Information

Information concerning charitable contributions, fundraising initiatives, sponsorship opportunities, financial objectives, and the Corporation's federal tax-exempt status shall be communicated in accordance with applicable legal requirements.

Any information concerning potential tax benefits associated with charitable contributions is subject to applicable federal and state law and, where relevant, determinations issued by the Internal Revenue Service.

Website content shall not be construed as individualized tax, legal, accounting, or financial advice.

D. External Information and Third-Party Materials

HELO may publish or reference information obtained from governmental agencies, educational institutions, community organizations, service providers, and other independent sources.

Although the Corporation may consider such information useful for its charitable and educational purposes, HELO does not guarantee the continued accuracy, completeness, or availability of information maintained by independent third parties.

E. Corrections, Revisions, and Website Maintenance

HELO may review, correct, revise, supplement, or remove website content to address inaccuracies, changes in organizational operations, updated legal requirements, or other legitimate circumstances.

The Corporation may also modify the organization, presentation, or availability of website materials as part of routine maintenance or website development.
